Legal
Terms & Conditions
Plain-language summary
These Terms are the agreement between you and Close It Now for using www.closeitnow.net and for buying our coaching, training, and speaking services. In short: the site and its tools are for information, the Revenue Leak calculator and Program Fit Finder give illustrative estimates, not promises; program fees, schedules, and refunds are set in the written engagement agreement you sign (with the defaults below if it is silent); our training materials and podcast are our intellectual property; we do not guarantee sales results, outcomes depend on you and your market; our liability is capped at what you paid us in the prior 12 months; and disputes are resolved by individual arbitration in Texas (you may opt out within 30 days). Please read the whole document.
1. Acceptance of these Terms
These Terms & Conditions ("Terms") are a legally binding agreement between you ("you" or "Client") and Close It Now ("Close It Now," "we," "us," "our"), 1714 Rosenborough Ln S, Round Rock, TX 78665. By accessing or using www.closeitnow.net (the "Site"), submitting a form, using an interactive tool, listening to content through the Site, or purchasing or attending any coaching program, training, workshop, event, or speaking engagement (collectively, the "Services"), you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or Services.
If you use the Site or purchase Services on behalf of a company, you represent that you are authorised to bind that company, and "you" includes the company.
Effective date: 2026-10-20 · Last updated: 2026-10-20
2. Eligibility
The Site and Services are intended for businesses and working professionals. You must be at least 18 years old and able to form a binding contract. The Site is not directed to children.
3. Our Services
Close It Now, founded by Sam Wakefield in 2019, provides sales training and coaching for HVAC and home-services professionals, including:
- One-on-One Coaching (the Peak Performance Program);
- Group Coaching (Revenue Growth Accelerator);
- On-Site Sales Training (In-Person Team Training);
- Speaking & Events (keynotes, workshops, and sales events); and
- free content, the Sales Training. Close It Now! podcast, blog articles, videos, and interactive tools.
Descriptions on the Site are general. The specific scope, dates, deliverables, number of sessions, attendees, and fees for any paid engagement are set out in a written proposal, order form, or engagement agreement ("Engagement Agreement") that you and we sign or accept by email. If an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls for that engagement.
4. Interactive tools, AI, and automated content
4.1 Tools are illustrative. The Revenue Leak calculator, Program Fit Finder, Value Stack, and any similar tool on the Site produce estimates from the numbers and choices you enter, using simplified assumptions. They are for illustration and conversation only. They are not a projection, forecast, valuation, or guarantee of revenue, close rate, income, or any other result, and they are not financial, accounting, legal, or business advice.
4.2 AI-assisted content. Some content on the Site, including article drafts, episode summaries, transcripts, and tool logic, may be produced or assisted by artificial-intelligence tools and reviewed by our team. AI output can contain errors or omissions. We do not warrant its accuracy or completeness, and you should verify anything you rely on.
4.3 Human decisions. Any recommendation a tool gives you (for example "the Revenue Growth Accelerator may fit best") is a starting point for a conversation with our team, not an automated decision about you.
5. No guarantee of results; no professional advice
5.1 Sales training and coaching provide education, methods, and accountability. Results depend on your effort, your team, your pricing and market, your company's operations, and factors outside our control. We make no promise that you or your team will achieve any particular close rate, average ticket, revenue, income, ranking, or other outcome.
5.2 Testimonials and case results on the Site, in the podcast, and in our materials reflect the actual experiences of specific clients and attendees who chose to share them. They are not typical, not a guarantee, and not a prediction of your results. Some clients may have received a discount or complimentary service in exchange for feedback; where that is the case we say so.
5.3 Nothing on the Site or in the Services is legal, financial, tax, accounting, HR, engineering, or licensing advice. Sales practices, in-home sales regulations, financing rules, and licensing differ by state; you are responsible for complying with the laws that apply to your business.
6. Purchases, pricing, payment, and refunds
6.1 Pricing. We do not publish fixed prices on the Site; pricing is by application and discovery call. Fees are stated in your Engagement Agreement or invoice. Unless stated otherwise, fees are in U.S. dollars and exclude taxes.
6.2 Payment. We accept payment by. Card details are entered with the processor, never on the Site; we do not store full card numbers. Invoices are due. Late amounts accrue interest at the lesser of 1.5% per month or the maximum allowed by Texas law, plus reasonable collection costs.
6.3 Deposits and scheduling. On-site training and speaking engagements may require a non-refundable deposit to hold dates. Travel and lodging for on-site engagements are billed at cost or per the Engagement Agreement.
6.4 Refunds and cancellation, defaults if the Engagement Agreement is silent:

6.6 Chargebacks. If you have a billing concern, contact us first at [email protected]; we resolve most issues within 5 business days. Chargebacks initiated without contacting us may result in suspension of Services.
6.7 Financing. We do not offer financing through the Site.
7. Client responsibilities and conduct in programs
7.1 You will provide accurate information, attend scheduled sessions, and participate in good faith. Group programs depend on a respectful environment; we may remove any participant who is abusive, discloses other participants' confidential information, or disrupts a session, without refund.
7.2 Confidentiality in group settings. What other participants share in group coaching, their numbers, challenges, and strategies, is confidential. You agree not to disclose it outside the group.
7.3 Your team. If you enrol employees, you are responsible for their compliance with these Terms and for any employment, wage-and-hour, or licensing obligations relating to their attendance.
7.4 Recordings. We may record virtual sessions for participants who miss them and for quality. You may not record sessions or redistribute recordings without our written consent.
8. Intellectual property
8.1 Our content. The Site and everything on it or delivered through the Services, text, graphics, logos, photographs, videos, audio, the Sales Training. Close It Now! podcast and every episode, transcripts, workbooks, scripts, frameworks, sales processes, slides, session recordings, and the interactive tools and their logic (the "Content"), are owned by Close It Now or its licensors and protected by U.S. and international copyright, trademark, and other laws. "Close It Now," "Peak Performance Program," "Revenue Growth Accelerator," "Sales Training That Closes," and related names and logos are trademarks or service marks of Close It Now, whether or not registered. Third-party marks (for example equipment manufacturers mentioned in training) belong to their owners.
8.2 Your licence. We grant you a limited, non-exclusive, non-transferable, revocable licence to (a) view the Site for your business's information, and (b) use training materials delivered to you internally within your company for the purpose of the engagement. You may not resell, sublicense, publish, post online, train others outside your company with, create derivative works from, or use the Content to build a competing training product. Licensed materials for a company engagement may be used only by the attendees named in the Engagement Agreement.
8.3 Podcast and free content. You may listen to, share links to, and quote short excerpts of podcast episodes and articles with attribution to Close It Now and Sam Wakefield. You may not re-host full episodes, strip audio for other platforms, or use them in advertising without permission.
8.4 Your submissions. By submitting a testimonial, review, question, tool input, or other material ("Submission") you grant us a perpetual, worldwide, royalty-free licence to use, reproduce, edit for length, and display it in connection with our business, including in marketing, unless you tell us in writing that a Submission is confidential (coaching-session content is always treated as confidential). You represent that you have the right to grant this licence. Feedback and suggestions may be used freely without obligation to you.
8.5 Copyright complaints. If you believe Content infringes your copyright, send a notice under 17 U.S.C. §512 to [email protected] with the subject "DMCA," including the work, the URL, your contact information, a good-faith statement, and a statement under penalty of perjury that you are authorised.
9. Acceptable use
You agree not to: use the Site for any unlawful purpose; submit false information or impersonate anyone; scrape, crawl, or harvest content or contact information; bypass reCAPTCHA or other security; upload malware or a file that is not a genuine résumé/application; interfere with the Site's operation; use the interactive tools to build a competing product; or use the Site to send spam. We may suspend access for violations.
10. Third-party services and links
The Site links to and embeds third-party services, Apple Podcasts, Spotify, Captivate.fm, Google reCAPTCHA, Facebook, Instagram, LinkedIn, the Inner Revolution book site, event registration and scheduling pages, and our payment processor. We do not control them, are not responsible for their content or practices, and your use of them is governed by their terms. A link is not an endorsement.
11. Disclaimer of warranties
THE SITE, THE TOOLS, THE CONTENT, AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CLOSE IT NOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT TOOL RESULTS ARE ACCURATE, OR THAT THE SERVICES WILL PRODUCE ANY PARTICULAR SALES OR BUSINESS RESULT. Some states do not allow certain warranty exclusions, so some of the above may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) CLOSE IT NOW, ITS OWNER, COACHES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SALES, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SITE, THE TOOLS, THE CONTENT, OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING. These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability for our gross negligence, wilful misconduct, or anything that cannot be limited by law.
13. Indemnification
You will defend, indemnify, and hold harmless Close It Now and its owner, coaches, contractors, and service providers from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your or your team's use of the Site, Content, or Services; (b) your Submissions; (c) your violation of these Terms or of any law, including sales, consumer-protection, licensing, or employment laws that apply to your business; or (d) your sales practices with your own customers. We may assume control of the defence of any matter subject to indemnification, and you will cooperate.
14. Governing law and venue
These Terms and any dispute arising out of or relating to them, the Site, or the Services are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and by applicable U.S. federal law. Subject to §15, the state and federal courts located in Williamson County, Texas have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. Dispute resolution: informal resolution, binding arbitration, class-action waiver
15.1 Talk to us first. Before starting any formal proceeding, you agree to email [email protected] with a description of the dispute and what you want, and to negotiate in good faith for 30 days. Most issues get resolved here.
15.2 Binding arbitration. If not resolved, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services, including whether a claim is arbitrable, will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or, for a claim by an individual consumer, its Consumer Arbitration Rules). The arbitration will be held in Williamson County, Texas, or by video conference at the arbitrator's discretion, before a single arbitrator, in English. The Federal Arbitration Act governs this section. The arbitrator may award any relief a court could award to the individual party, and judgment may be entered in any court of competent jurisdiction. Each side bears its own fees and costs unless the arbitrator finds a claim frivolous or the applicable rules or law provide otherwise.
15.3 Exceptions. Either party may (a) bring an individual claim in small-claims court in Williamson County, Texas (or your county, if the rules allow), and (b) seek injunctive or other equitable relief in court to protect intellectual property or confidential information.
15.4 CLASS-ACTION AND JURY-TRIAL WAIVER. YOU AND CLOSE IT NOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person. TO THE EXTENT A CLAIM PROCEEDS IN COURT, BOTH PARTIES WAIVE TRIAL BY JURY. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court under §14, and this waiver severs from the rest of §15.
15.5 30-day opt-out. You may opt out of §15.2 and §15.4 by emailing [email protected] with the subject "Arbitration Opt-Out," your name, company, and the email you used with us, within 30 days of first accepting these Terms (or first purchasing Services). Opting out does not affect any other part of these Terms.
15.6 Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred, unless a longer period is required by law.
16. Termination
We may suspend or terminate your access to the Site or an engagement if you materially breach these Terms or an Engagement Agreement and do not cure within 10 days of notice (or immediately for conduct described in §7.1 or §9). You may end an engagement as described in §6.4. Sections 5, 8, 11–15, and 18 survive termination.
17. Changes to the Site and these Terms
We may change the Site, tools, or Content at any time. We may revise these Terms by posting the revised version with a new "Last updated" date; material changes to §§12–15 will not apply to a dispute that arose before the change. Your continued use after the effective date is acceptance. Changes to an active Engagement Agreement require both parties' written agreement.
18. General
Entire agreement. These Terms, the Privacy Policy, and any Engagement Agreement are the entire agreement between you and Close It Now about the Site and Services and supersede prior discussions. Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. Waiver. Our failure to enforce a provision is not a waiver. Assignment. You may not assign these Terms without our consent; we may assign them to a successor. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control (weather, travel disruption, illness, internet or utility failure, government action), and we will reschedule affected sessions or events. Notices. Notices to us go to [email protected] or the office address above; notices to you go to the email you provided. Independent contractor. Close It Now is an independent contractor to you; nothing creates a partnership, joint venture, franchise, or employment relationship, and coaching your employees does not make us their employer. Electronic communications. You consent to receive notices and agreements electronically. Export / sanctions. You represent that you are not on any U.S. government restricted-party list.

Drafted for Close It Now's review with its own counsel. The defaults in §6 (payment, deposits, refunds) and §15 (arbitration) are the business decisions most worth a deliberate look; everything else is standard protective drafting for a Texas training and coaching business.
